[ausev] AustinEV.org 5 Corporate Resolutions on 9/9/06

On Saturday September 9th, 2006, at the general meeting of AustinEV.org,
the following resolutions were made and approved by the membership at large
in attendance. (a record of those in attendance is preserved & maintained
by the secretary)

Be it resolved on this day Saturday, Sept. 9th,  2006 at 3401 S. Congress,
Austin, Texas the following :

1. That AustinEV.org incorporate as a Texas Non-Profit Corporation under
the name "The Austin Area Electric Vehicle Association, Inc.", yet continue
to operate primarily under the name AustinEV.org .
2. That "The Austin Area Electric Vehicle Association, Inc.", serve as the
regional affiliate of 
The Electric Auto Association, Inc. or EAAEV.org
3. Accept the slate of founding officers, Mark Farver as President, Chris
Robinson as Vice-President and Aaron Choate as Secretary/Treasurer.
4. Accept the initial slate of founding directors comprised of the officers
above and in addition, Mark Kapner, Marc Kohler & Daniel Petit.
5. Give the officers above the authority without further review to approve
and file our articles of incorpration and bylaws before the Texas Secretary
of State creating said non-profit entity, on or before September 20th,
2006, and with that  make one Aaron Choate the 'agent of record" in such a
state corporation filing.
